TERMS & CONDITIONS
01. Payment Structure
50% upfront (non refundable), 25% after approval of website, 25% after approval of collaterals (Business Cards, Brochure, E-Card, etc.). Payment via Paypal, wire or bank transfer.
03. Third Party Contracts
The indirect costs to the Project corresponding to third party contracts are not included in the prices stated above. In case of being required and previously approved by the Client, they will be quoted and billed separately.
New components that are not described in the scope of work will be assessed in a new estimate.
07. Intellectual and Usage Rights
After the work is completed and payment has been received, the client will own the rights to the approved design. Alternatives presented shall be owned by Suiza de America.
09. Payment Delays
A delay in the payments (after 10 days after the completion of the Project part) will have a penalty of 5% of the quota in question, a penalty that will be added every 7 consecutive days of delay.
All communications and requests for materials will be made in the hours between 9 a.m. and 7 p.m. (Uruguay time -3 GMT), from Monday to Friday. No messages will be answered on days or times outside of that range.
02. Not Included
Resources needed for the design such as fonts, stock photos, icons, Wordpress themes and/or plugins and/or processes such as photo retouching are not included in the prices stated above. In case of requesting these activities, they will be quoted separately and in due course.
04. Scope of Service
If the scope of the service is altered so that a greater or lesser level of complexity or number of hours of work is required to complete any task, the fees will be adjusted and the new timeline agreed accordingly. Additional work for components that appear in the scope of work will be charged $45 per hour (e.g. beyond the number of revisions described).
Business day count starts only after the client provides all resources requested, such as images, contact details, website copy, etc.
If at the date agreed for the beginning of the Project, the Client has not done the exercises required or has failed to collect the materials (either due to lack of it or its poor quality), the project will be delayed accordingly. We will not begin to work without all of these elements in order.
10. Cancellation/Waiving Policy
In case of Project cancellation after the work has started, the client will pay for the relative part of the work. Suiza de America has the right to waive the Project at any time in the event that the Client incurs in a breach of contract or it's affected for any reason by the relationship between the parties, without any economic or legal implications.
12. Confidentiality Clause
Absolute confidentiality of the information and/or documents obtained or developed in this Project is ensured. All information regarding the Project will be duplicated in an encrypted hard drive and in the cloud via Dropbox, access to which is protected and restricted only to the Client.
